COUPIAN TERMS OF SERVICE

These Terms of Service (the “Terms”) govern your access to and use of Coupian’s websites, applications, marketplace, ticketing services, voucher services, gift-card services, editorial content, customer-support features, and related services (collectively, the “Platform”).
These Terms form a legally binding agreement between you and Coupian [LEGAL ENTITY NAME], a [STATE AND ENTITY TYPE] (“Coupian,” “we,” “us,” or “our”).
By creating an account, purchasing or receiving a voucher, Gift Card, or Event Ticket, using the Platform, or otherwise indicating acceptance of these Terms, you agree to be bound by them.
If you do not agree to these Terms, do not create an account or use the Platform.

1. ABOUT COUPIAN
Coupian operates a marketplace that helps people discover and purchase experiences, goods, services, offers, and Event Tickets from participating local businesses and Event Organizers.
Except where expressly stated otherwise, Coupian does not itself provide the restaurant meal, entertainment, wellness service, Event, admission, experience, or other underlying product purchased through the Platform.
The participating business or Event Organizer is responsible for providing the underlying goods, services, Event, or experience.
Coupian provides marketplace technology, transaction processing or payment facilitation, voucher and ticket functionality, customer support, discovery services, and related Platform services.

2. DEFINITIONS
For purposes of these Terms:
“Account” means a registered Coupian customer account.
“Customer” or “you” means a person who accesses, browses, purchases from, or otherwise uses the Platform.
“Deal Voucher” means a prepaid voucher redeemable for specified goods or services from a particular participating business.
“Event” means a concert, performance, gathering, nightlife event, comedy show, experience, activity, or other event for which admission may be made available through Coupian.
“Event Organizer” or “Organizer” means the person or business responsible for organizing or presenting an Event.
“Event Ticket” or “Ticket” means a license or other evidence of the right to attend an Event, subject to these Terms and the applicable Event and venue conditions.
“Gift Card” means stored-value marketplace credit issued through Coupian and redeemable for eligible purchases from participating businesses on the Platform.
“Merchant” means a participating business that makes goods, services, offers, or Deal Vouchers available through Coupian.
“Promotional Value” means the value of a Deal Voucher above the amount actually paid by the Customer, such as where a Customer pays $40 for a voucher providing $50 in value.

3. ELIGIBILITY AND ACCOUNTS
3.1 Minimum Age
Proposed launch rule: You must be at least eighteen (18) years old to create a Coupian Account or make a purchase through Coupian.
Certain Events, goods, services, or venues may have higher minimum-age requirements, including Events restricted to persons age twenty-one (21) or older.
Coupian's age requirement does not override an Organizer's or venue's lawful admission requirements.
Coupian may request information reasonably necessary to verify eligibility where required by law, payment processors, fraud controls, or Event restrictions.
3.2 Account Required for Purchases
An Account is required to make a purchase through Coupian.
You must provide a valid email address and complete any required email-verification process before purchasing.
3.3 Accurate Information
You agree to provide accurate, current, and complete information when creating and maintaining your Account.
You may not:
* impersonate another person;
* create an Account using information you are not authorized to use;
* create Accounts for fraudulent purposes;
* use multiple Accounts to evade purchase limits, promotional restrictions, or enforcement actions; or
* permit unauthorized persons to use your Account.
3.4 Account Security
You are responsible for maintaining the confidentiality of your password and other login credentials.
Notify Coupian promptly if you believe your Account has been accessed without authorization.
3.5 Two-Factor Authentication
Coupian may make two-factor authentication or other account-security measures available or mandatory.

4. BROWSING WITHOUT AN ACCOUNT
Visitors may browse portions of Coupian without creating an Account.
Certain functionality, including purchases, may require registration.
Coupian may use first-party cookies or similar technologies for security, functionality, analytics, attribution, or other purposes described in our Privacy Policy and Cookie Notice.

5. DEAL VOUCHERS
5.1 Purchasing a Deal Voucher
A Deal Voucher represents a prepaid right to obtain the goods or services described in the applicable offer from the identified Merchant.
The Merchant, not Coupian, supplies the underlying goods or services.
The applicable listing will describe:
* the purchase price;
* the goods or services included;
* the value represented by the voucher;
* applicable redemption restrictions;
* participating locations where applicable;
* expiration or promotional deadlines where applicable; and
* other material offer conditions.
5.2 Promotional Value and Amount Paid
Where a Deal Voucher provides Promotional Value, the Promotional Value may expire on the date clearly disclosed in the applicable offer.
The amount you actually paid for the Deal Voucher does not expire under Coupian's Platform rules.
After expiration of the Promotional Value, the amount you paid will remain available for redemption toward eligible goods or services from the Merchant, or will otherwise be handled as required by applicable law and Coupian's then-applicable policies.
Example:
If you pay $40 for a Deal Voucher providing $50 of value, the additional $10 Promotional Value may expire on the disclosed promotional expiration date.
The $40 amount paid does not expire.
5.3 Redemption
Deal Vouchers must be redeemed using the method provided by Coupian, which may include a QR code or other digital redemption mechanism.
A voucher may become invalid after successful redemption.
You may not duplicate, reproduce, sell, counterfeit, manipulate, or fraudulently redeem a Deal Voucher.
5.4 Merchant Responsibility
The Merchant is responsible for providing the goods or services described in the offer.
If a Merchant refuses to honor a valid Deal Voucher, contact Coupian Support.
5.5 Voucher Refunds
A Deal Voucher may be eligible for refund within the refund period displayed at purchase.
After the applicable refund period, refund eligibility may be limited except where required by law, the Merchant cannot fulfill the offer, or Coupian determines that another remedy is appropriate under these Terms.

6. COUPIAN GIFT CARDS
6.1 Marketplace Credit
A Coupian Gift Card represents stored value that may be used toward eligible purchases from participating businesses through the Coupian marketplace.
A Coupian Gift Card is not a bank account, deposit account, debit card, credit card, or general-purpose payment account.
6.2 Redemption
Gift Cards may be redeemed only for eligible transactions through Coupian unless applicable law requires otherwise.
Availability of particular Merchants, Events, goods, or services may change.
Ownership of a Gift Card does not guarantee that any particular Merchant or Event will remain available through Coupian.
6.3 Fees
Coupian will not impose dormancy, inactivity, maintenance, or similar fees on Gift Card balances where prohibited by law.
6.4 Expiration
Gift Card value will not expire earlier than permitted by applicable law.
If Coupian's Platform policy provides greater protection than applicable law, the more favorable Platform policy will apply unless otherwise disclosed.
6.5 Cash Redemption
Gift Cards are not redeemable for cash except where required by applicable law.
Where applicable law gives you the right to redeem a remaining balance for cash, Coupian will honor that right.
6.6 Lost or Stolen Gift Cards
You are responsible for protecting Gift Card access information.
Coupian may replace a lost or stolen digital Gift Card where Coupian can reasonably verify ownership and the balance has not already been redeemed, but Coupian does not guarantee replacement where ownership cannot be verified.
6.7 Fraud
Coupian may suspend, cancel, or refuse redemption of a Gift Card reasonably believed to have been obtained, transferred, purchased, or used fraudulently, subject to applicable law.

7. EVENTS AND EVENT TICKETS
7.1 Organizer Responsibility
The Event Organizer, not Coupian, is responsible for producing and conducting the Event.
The Organizer is responsible for matters including:
* the Event occurring as advertised;
* performers and programming;
* venue arrangements;
* venue capacity;
* permits and licenses;
* insurance;
* security;
* health and safety;
* age restrictions;
* accessibility obligations;
* admission policies; and
* Event operations.
Coupian provides ticketing and marketplace technology but does not guarantee that an Event will occur.
7.2 Tickets as Licenses
An Event Ticket represents a license to attend the identified Event subject to:
* these Terms;
* the Event listing;
* lawful conditions imposed by the Organizer; and
* lawful conditions imposed by the venue.
Possession of a Ticket does not create an ownership interest in the Event, venue, performer, or intellectual property associated with the Event.
7.3 Ticket Pricing
Ticket prices may be offered in pricing tiers.
For some Events, later pricing tiers may be higher than earlier tiers as ticket inventory is sold.
Once an Event advances to a higher pricing tier, Coupian's Platform is designed not to reduce that Event's ticket price to an earlier tier.
This rule is intended, among other things, to prevent unfair refund-and-repurchase arbitrage.
7.4 Total Ticket Price
Where Coupian displays a price for a live-event Ticket, Coupian will display mandatory fees as part of the total price where required by applicable law.
Government taxes or legally excludable charges may be separately identified where permitted.
A breakdown of the Ticket price, Coupian fees, processing costs, taxes, or other components may also be provided.
7.5 Coupian Ticket Service Fee
Unless otherwise stated, Coupian's standard Event Ticket service fee may be calculated as:
5% of the Ticket face value + $0.99 + applicable payment-processing cost.
The rate displayed at the time of purchase controls.
Coupian may change its pricing prospectively.
7.6 Checkout Inventory Hold
Adding Tickets to checkout may temporarily reserve inventory and lock the applicable Ticket price.
The standard checkout hold is currently approximately ten (10) minutes.
A visible countdown may show the remaining hold period.
If checkout is not completed within that period:
* the inventory hold may expire;
* the Ticket may become available to another buyer; and
* the price or available pricing tier may change.
7.7 Group Booking Holds
Certain group bookings may be temporarily held for a longer period.
The current standard group-booking hold may be approximately twelve (12) hours.

8. EVENT CANCELLATIONS AND REFUNDS
8.1 Organizer Cancellation
If an Organizer cancels an Event, Coupian will refund the purchaser the amount paid for the canceled Event, including the Coupian service fee associated with that purchase, subject to applicable law.
The Organizer bears processing costs that cannot be recovered from the payment processor.
8.2 Buyer-Initiated Refunds
An Organizer may establish a refund window during which purchasers can cancel eligible Tickets.
Where a Customer voluntarily uses an Organizer-authorized self-service refund feature, the refundable amount and any nonrefundable processing component will be disclosed before the Customer confirms the refund.
Where permitted by applicable law, unrecoverable payment-processing costs associated with a voluntary Customer refund may be deducted from the refund.
8.3 Changes to Events
An Event may sometimes experience changes including:
* performer changes;
* supporting-act changes;
* schedule adjustments;
* venue changes;
* weather-related adjustments; or
* operational changes.
Whether a change entitles the purchaser to a refund will depend on the nature of the change, the Organizer's stated policy, applicable law, and Coupian's applicable refund rules.
A material cancellation will not be treated as merely an Event change.
8.4 Refund Method
Unless otherwise required by law or expressly agreed, refunds will ordinarily be returned to the original payment method.
Processing times may depend on financial institutions and payment processors outside Coupian's control.

9. TICKET TRANSFERS
9.1 Transfer Functionality
Coupian may permit a Ticket holder to transfer a Ticket to another person.
When a transfer is accepted, Coupian may invalidate or rotate the original admission code so that the sender's previous Ticket copy can no longer be used.
9.2 Coupian Is Not a Resale Marketplace
Coupian's transfer functionality does not constitute a public Ticket resale marketplace.
Unless Coupian expressly launches a separately governed resale service, Coupian does not provide functionality for Customers to publicly list Tickets for resale.
9.3 Transferability Rights
Nothing in these Terms is intended to restrict transfer or resale rights that applicable law requires Coupian, an Organizer, or a venue to permit.
Where applicable law requires a purchaser to receive independently transferable Tickets or another transferable Ticket format, Coupian and the applicable Organizer may provide such functionality or format.
9.4 Complimentary Tickets
Tickets initially provided without charge may be subject to different transfer or resale rules under applicable law.

10. TICKET SECURITY
Coupian may use technological controls intended to prevent Ticket fraud, duplication, or unauthorized sharing.
These controls may include rotating QR or admission codes that refresh periodically.
A screenshot, photograph, printout, copied code, or otherwise reproduced Ticket may cease to function where the valid admission code has changed.
Customers should use the current Ticket displayed in their Coupian Account or approved wallet rather than relying on an old screenshot.

11. TICKET PURCHASE LIMITS AND ANTI-BOT RULES
Coupian may establish Ticket purchase limits, inventory-hold limits, rate limits, or other controls intended to promote fair access to Tickets.
You may not:
* use bots, scripts, automated purchasing tools, or similar technology to circumvent Ticket limits;
* bypass CAPTCHA, Turnstile, rate limiting, or other security mechanisms;
* create multiple Accounts to evade purchase limits;
* use disposable or deceptive identity information to bypass restrictions;
* interfere with Ticket inventory holds;
* manipulate the Ticket queue or checkout process; or
* assist another person in doing any of the foregoing.
Coupian may cancel transactions, invalidate Tickets, suspend Accounts, block access, or take other reasonable action where Coupian determines that Tickets were obtained through prohibited circumvention.
Any refund in such circumstances may be reduced by losses, costs, or amounts Coupian is legally entitled to retain.

12. PROMOTIONAL CODES
Coupian or a Merchant may make promotional codes available from time to time.
Promotional codes may:
* be limited to particular Accounts;
* have expiration dates;
* have usage limits;
* require a minimum purchase;
* exclude particular products; or
* be subject to other disclosed restrictions.
Unless expressly stated otherwise, promotional codes may not be applied to Event Tickets.
Promotional codes:
* have no cash value;
* may not be sold;
* may not be duplicated;
* may not be combined unless permitted; and
* may be canceled if obtained or used fraudulently.

13. REFERRAL PROGRAM
Coupian may operate a referral program through which Customers receive referral codes or links and may earn promotional rewards.
Participation is subject to any additional Referral Program Terms published by Coupian.
Coupian may deny, cancel, reverse, or claw back referral rewards obtained through:
* self-referrals;
* duplicate Accounts;
* fabricated identities;
* automated activity;
* misleading promotion;
* sham transactions;
* refunded or reversed purchases; or
* other abusive or fraudulent conduct.
Referral rewards are promotional benefits and are not cash unless Coupian expressly states otherwise.

14. REVIEWS AND USER CONTENT
14.1 Reviews
Coupian may allow Customers to submit reviews, ratings, comments, photographs, or other content regarding Merchants, Events, or experiences.
Reviews must reflect genuine experiences and may not contain knowingly false or misleading statements.
14.2 Prohibited Content
You may not submit content that:
* is unlawful;
* is fraudulent or knowingly false;
* impersonates another person;
* infringes intellectual-property rights;
* contains malicious code;
* reveals another person's sensitive private information without authorization;
* constitutes unlawful harassment or threats;
* is submitted in exchange for undisclosed compensation where disclosure is required; or
* otherwise violates Coupian's Community Guidelines.
14.3 Moderation
Coupian may review, restrict, remove, label, or decline to publish content that violates applicable law, these Terms, or Coupian's Community Guidelines.
Coupian is not obligated to remove content merely because a Merchant disagrees with an opinion expressed in a genuine review.
14.4 Merchant Disputes
Merchants may report reviews they reasonably believe are fraudulent, fabricated, abusive, unlawful, or posted by persons who did not have the relevant experience.
Coupian may investigate such reports and may request supporting information.
14.5 License to User Content
You retain ownership of content you submit.
By submitting content to the Platform, you grant Coupian a nonexclusive, worldwide, royalty-free license to host, reproduce, display, distribute, format, and use the content as reasonably necessary to operate and promote the Platform, subject to applicable law and our Privacy Policy.

15. THE BUZZ AND EDITORIAL CONTENT
Coupian may publish articles, recommendations, neighborhood guides, Event coverage, interviews, and other editorial material through The Buzz.
Editorial content may include businesses or Events that also participate commercially in the Coupian marketplace.
Where Coupian has a material commercial relationship that requires disclosure, Coupian will provide an appropriate disclosure.
Some editorial or support content may be created or edited with assistance from artificial-intelligence tools.
Unless expressly stated otherwise, editorial content represents general informational or editorial material and is not a guarantee regarding a Merchant, Event, product, or service.

16. ARTIFICIAL-INTELLIGENCE SUPPORT
Coupian may use automated or artificial-intelligence-assisted systems to provide customer support.
To respond to a request, an AI-assisted support system may process:
* information you provide in the conversation;
* relevant Account information;
* order information;
* voucher information;
* Ticket information;
* expiration information;
* refund information;
* Merchant or Organizer information; and
* other relevant Platform records.
Use of such systems will be described further in Coupian's Privacy Policy.
Do not provide unnecessary highly sensitive information through a support conversation.
AI-generated responses may contain errors.
Where appropriate, you may request escalation to human support.

17. PAYMENTS
17.1 Payment Processors
Coupian uses third-party payment processors, which may include Stripe, Square, or other providers.
Your payment information may be processed directly by the applicable processor.
Additional processor terms may apply.
17.2 Authorization
By submitting a purchase, you authorize the applicable payment method to be charged for the final amount displayed before purchase.
17.3 Failed or Reversed Payments
If a payment is declined, reversed, disputed, or otherwise unsuccessful, Coupian may:
* cancel the transaction;
* cancel or suspend the associated voucher, Gift Card, or Ticket;
* restrict further purchases; or
* take other reasonable steps to prevent loss or fraud.
17.4 Chargebacks
If you believe a transaction is incorrect, Coupian encourages you to contact Coupian Support before initiating a payment dispute so Coupian has an opportunity to investigate.
Nothing in these Terms limits lawful rights available through your financial institution or payment network.
Submitting a knowingly fraudulent chargeback may result in Account suspension or termination and other remedies permitted by law.

18. MARKETING COMMUNICATIONS
Coupian may send transactional communications relating to your Account or purchases, including:
* receipts;
* Tickets;
* vouchers;
* password resets;
* security notices;
* Event changes;
* refund notices; and
* customer-support communications.
Where you have opted in or applicable law otherwise permits, Coupian may also send marketing communications including neighborhood offers, newsletters, Event recommendations, and promotional messages.
Marketing emails will provide an unsubscribe method where required.
Unsubscribing from marketing does not prevent Coupian from sending necessary transactional or Account-related messages.

19. POST-EVENT COMMUNICATIONS
If you attend an Event and your Ticket is scanned, Coupian may, subject to your marketing preferences and applicable law, send promotional communications concerning the Organizer or related Events.
Coupian may distinguish actual attendance from a Ticket that was purchased but never scanned.

20. PUSH NOTIFICATIONS
Coupian may offer optional browser or device push notifications.
You may enable or disable push notifications through your device, browser, or Platform settings.

21. PRIVACY
Coupian's collection, processing, use, disclosure, and retention of personal information are described in the Coupian Privacy Policy.
The Privacy Policy should be reviewed together with these Terms.
Depending on how you use Coupian, information collected may include Account information, transaction information, redemption records, Event attendance information, support communications, approximate location, cookies or identifiers, and other Platform data.

22. ADMINISTRATIVE SUPPORT ACCESS
Authorized Coupian personnel may use controlled administrative tools to troubleshoot Account or Platform issues.
These tools may permit authorized personnel to temporarily view aspects of the Platform from a Customer's perspective.
Administrative support access is subject to internal access controls and audit logging.
Administrative impersonation functionality does not permit Coupian staff using that function to perform designated sensitive actions such as changing your password or two-factor authentication credentials or completing purchases as you.

23. ACCEPTABLE USE
You may not use the Platform to:
* violate law;
* commit fraud;
* misuse payment credentials;
* obtain unauthorized access to another Account;
* interfere with Platform security;
* scrape or systematically extract Platform data without authorization;
* transmit malware;
* manipulate voucher or Ticket redemption;
* counterfeit vouchers or Tickets;
* circumvent transaction restrictions;
* abuse promotional or referral programs;
* engage in prohibited automated purchasing;
* harass other users, Merchants, Organizers, or Coupian personnel; or
* interfere with the normal operation of the Platform.

24. ACCOUNT SUSPENSION AND TERMINATION
Coupian may restrict, suspend, or terminate an Account where Coupian reasonably believes:
* the Account is being used fraudulently;
* these Terms have been materially violated;
* security has been compromised;
* payment abuse has occurred;
* Ticketing or promotional controls have been circumvented;
* continued access would expose Coupian, Customers, Merchants, Organizers, or others to material risk; or
* suspension is required by law or a payment processor.
Where reasonable and legally permissible, Coupian will provide notice.
Termination does not eliminate rights associated with valid purchases except to the extent cancellation or restriction is permitted by these Terms or required to prevent fraud or unlawful use.

25. INTELLECTUAL PROPERTY
The Platform, including its software, branding, designs, graphics, logos, text, databases, features, and technology, is owned by or licensed to Coupian and is protected by applicable intellectual-property laws.
Except as permitted through ordinary Platform use, you may not reproduce, modify, distribute, sell, license, reverse engineer, or create derivative works from Coupian technology or proprietary materials without authorization.
Merchant, Organizer, venue, artist, and third-party trademarks remain the property of their respective owners.

26. COPYRIGHT AND IP COMPLAINTS
Coupian respects intellectual-property rights.
A person who believes content on Coupian infringes their copyright or other intellectual-property rights may submit a complaint using Coupian's published intellectual-property or DMCA process.
Coupian may remove or restrict allegedly infringing material in appropriate circumstances.

27. THIRD-PARTY SERVICES AND LINKS
The Platform may integrate with or link to third-party services, including payment processors, digital wallets, websites, social networks, maps, or Merchant services.
Coupian does not control third-party services and is not responsible for their independent terms, privacy practices, availability, or content.

28. MERCHANTS, ORGANIZERS, AND THIRD PARTIES
Coupian does not warrant or guarantee:
* Merchant quality;
* Merchant availability;
* Event occurrence;
* performer appearance;
* venue quality;
* the accuracy of every Merchant-supplied statement;
* a particular Customer experience; or
* uninterrupted availability of third-party services.
Nothing in this section eliminates Coupian's obligations relating to transactions, refunds, representations, or other matters for which Coupian is legally responsible.

29. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
COUPIAN DISCLAIMS IMPLIED WARRANTIES TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
COUPIAN DOES NOT GUARANTEE THAT THE PLATFORM WILL ALWAYS BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM EVERY SECURITY THREAT.
THIS SECTION DOES NOT DISCLAIM WARRANTIES OR CONSUMER RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED.

30. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COUPIAN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE PLATFORM.
PROPOSED COUPIAN POSITION: Except for amounts Coupian is required to refund or remit and liability that cannot legally be limited, Coupian's aggregate liability arising from a particular transaction will not exceed the Coupian fees collected in connection with the transaction giving rise to the claim.
LEGAL REVIEW REQUIRED BEFORE PUBLICATION: Consumer liability limitations, particularly for New York Customers, should be finalized together with the dispute-resolution section.
Nothing in these Terms excludes liability that applicable law prohibits Coupian from excluding or limiting.

31. INDEMNIFICATION
To the extent permitted by law, you agree to indemnify Coupian against third-party claims arising directly from:
* your intentional misuse of the Platform;
* your fraudulent conduct;
* your violation of another person's intellectual-property rights through content you submit;
* your unlawful use of Tickets, vouchers, promotional codes, or referral programs; or
* your material violation of these Terms.
This obligation does not require you to indemnify Coupian for Coupian's own negligence, unlawful conduct, or breach of these Terms.

32. GOVERNING LAW
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except to the extent another law must apply.

33. DISPUTE RESOLUTION
THIS SECTION REQUIRES A FINAL BUSINESS/COUNSEL DECISION BEFORE LAUNCH.
Coupian must choose one of the following structures before publication:
Option A — Court Proceedings
Disputes arising from these Terms will be resolved in the appropriate state or federal courts located in New York, subject to applicable consumer-protection and jurisdictional law.
Option B — Arbitration
If Coupian elects binding arbitration, this section must be replaced by a complete arbitration agreement addressing:
* the arbitration administrator;
* governing rules;
* filing-fee allocation;
* small-claims rights;
* opt-out rights if provided;
* location and remote proceedings;
* mass-arbitration procedures if desired;
* class-action waiver;

34. CHANGES TO THESE TERMS
Coupian may update these Terms prospectively.
Where a change materially affects your rights or obligations, Coupian will provide reasonable advance notice where required by law.
The version in effect when a transaction occurs will govern that transaction unless applicable law requires otherwise.
Continued use of the Platform after revised Terms become effective constitutes acceptance to the extent permitted by law.

35. ELECTRONIC COMMUNICATIONS
You consent to receive agreements, notices, disclosures, receipts, and other records electronically where permitted by law.
